These Terms & Conditions ("Terms") govern all sales of products ("Products") by Rudrex LLC ("Supplier"), a Minnesota limited liability company. By purchasing Products from Supplier, the customer ("Customer") agrees to these Terms in full. No other terms or conditions apply unless expressly agreed to in writing by Supplier.   These Terms are governed by the laws of the State of Minnesota, without regard to conflict‑of‑law principles.

All Products are sold AS IS, with no warranty or guarantee of any kind, whether express or implied, including merchantability, fitness for a particular purpose, or performance. Supplier does not guarantee suitability for Customer’s specific application, formulation, filling process, or compatibility requirements.

Customer is solely responsible for conducting all necessary testing of Products, including compatibility testing, leak testing, closure and fitment testing, assembly validation, torque testing, filling line trials, and environmental or stability testing. Customer must verify that Products meet all functional, regulatory, and performance requirements before use in production, distribution, or consumer applications.

Customer is solely responsible for proper assembly of all components, correct application of closures, liners, pumps, sprayers, or other fitments, appropriate torque and sealing procedures, and proper storage and filling conditions. Supplier is not responsible for leaks, failures, or performance issues resulting from improper assembly, torque, handling, or use.

To the fullest extent permitted by law, Supplier shall not be liable for any damages arising from the use, misuse, or failure of the Products. Supplier shall not be liable for incidental, indirect, special, punitive, or consequential damages, including lost profits, lost product, production downtime, equipment damage, third‑party claims, or recall costs. Customer’s sole remedy is limited to replacement of the specific defective Product or refund of the purchase price, at Supplier’s discretion.

Customer acknowledges that variations in color, dimensions, weight, resin, or appearance may occur due to standard manufacturing tolerances. Such variations do not constitute defects.

All orders are subject to Supplier’s acceptance. Lead times are estimates only and may vary. Supplier is not responsible for delays caused by manufacturing, transportation, customs, or other factors outside its control.

  Customer agrees to indemnify, defend, and hold Supplier harmless from any claims, losses, damages, liabilities, or expenses arising from Customer’s use of the Products, filling or packaging of goods, failure to perform adequate testing, or modification or misuse of the Products.

Returns are generally not accepted, as packaging is custom configured and bespoke to the Customer’s specifications at the time of order. Any request for a return must be submitted in writing and will only be considered in cases of a clear and demonstrable gross deficiency in the Products. Customer must provide evidence that the issue resulted from a defect not attributable to the Customer. All return determinations remain at the sole discretion of Rudrex LLC.

The products sold by Rudrex LLC are protected under United States intellectual property law and are the subject of a provisional patent application currently on file with the United States Patent and Trademark Office (USPTO). Customer acknowledges that the design, configuration, and functional elements of the products constitute proprietary intellectual property of Rudrex LLC. Rudrex LLC is preparing its Patent Cooperation Treaty (PCT) application, which will be filed imminently. Nothing in this Agreement shall be construed as granting Customer any rights, licenses, or interests in such intellectual property. All rights are expressly reserved by Rudrex LLC.

Customer agrees not to contact, attempt to contact, or communicate in any manner with any third‑party manufacturer, supplier, or fulfillment partner utilized by Rudrex LLC in the production, assembly, or shipment of the products. Customer further agrees not to seek to identify, locate, or engage directly or indirectly with any such supplier for the purpose of obtaining products, quotations, samples, or related services. All communications regarding the products, orders, specifications, or issues must be directed exclusively to Rudrex LLC. Any attempt by Customer to circumvent Rudrex LLC in its supplier relationships shall constitute a material breach of these Terms and Conditions.

These Terms constitute the entire agreement between Supplier and Customer and are cumulative with all prior communications and agreements.
